Terms of Service

Welcome to Context Engineering! These Terms of Service ("Terms") govern your access to and use of our services, including our website, APIs, and the Context Engineering MCP server (collectively, the "Service").

By creating an account, subscribing, or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

1. The Service

Context Engineering provides a subscription-based service designed to assist software developers by providing AI-powered tools and content to help plan and architect software features ("Generated Content").

Our Service is delivered as a backend API endpoint (the "MCP Server"). The Service does not include the client software (e.g., your IDE or code editor), which you are responsible for providing, configuring, and maintaining. Access to our Service requires a valid, active subscription and a correctly configured client.

2. Accounts and Subscriptions

a. Account Creation: Your account is created when you successfully complete the subscription process through our payment provider.

b. Access Keys: Upon successful subscription, you will be issued a unique access key ("Access Key"). You are solely responsible for maintaining the confidentiality and security of your Access Key and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your Access Key.

c. Subscriptions: The Service is billed on a subscription basis. Your subscription will automatically renew at the end of each billing cycle unless it is cancelled. You can manage your subscription through your account page.

d. Payments and Taxes: We use a third-party payment provider to handle all payments. By providing payment information, you agree to our payment provider's terms of service. All fees are exclusive of applicable taxes, for which you are responsible. Our service may use our payment provider's features to automatically calculate and collect taxes where required.

3. Use of the Service

a. Your Responsibilities:

  • You affirm that you are of legal age to enter into these Terms, or, if you are not, that you have obtained parental or guardian consent to enter into these Terms.
  • You are responsible for all activities that occur under your account.
  • You are solely responsible for obtaining and correctly configuring your client software (e.g., IDE, mcp.json configuration file) to communicate with our Service.
  • You agree to use the Service in compliance with all applicable laws.

b. Prohibited Uses: You agree not to:

  • Share your Access Key with any third party.
  • Reverse-engineer, decompile, or otherwise attempt to discover the source code of the Service.
  • Use the Service for any illegal or unauthorized purpose.
  • Build a competitive product or service using our technology.
  • Overload our systems, including our user database and infrastructure providers, through excessive or abusive API calls.

4. Intellectual Property

a. Our Intellectual Property: The Service, including its software, code, branding, and design, is the exclusive property of Context Engineering and its licensors. We grant you a limited, non-exclusive, non-transferable license to access and use the Service as long as your subscription is active.

b. Your Content: You retain all ownership rights to the code, prompts, and other information you provide to the Service ("Input").

c. Generated Content: You own the Generated Content created by the Service based on your Input. You are free to use the Generated Content for any purpose, including commercial purposes.

d. License to Us: To operate and provide the Service, you grant us a worldwide, non-exclusive license to use, process, and transmit your Input and Generated Content. This license is solely for the purpose of providing, maintaining, and improving the Service.

5. Third-Party Services

Our Service integrates with and relies on various third-party services to function. By using our Service, you acknowledge that we use external providers for:

  • Payment Processing: All payments and subscriptions are handled by a third-party payment provider.
  • Account & Data Hosting: Your account information, including email, subscription status, and Access Key, is stored using a third-party data hosting provider.
  • AI Processing: To provide the core functionality, your Input is sent to third-party Large Language Model (LLM) providers for processing. We are not responsible for the data handling practices of these providers.

6. Disclaimers, "AS IS" Service, and Limitation of Liability

You expressly understand and agree that your use of the Service and your reliance on any information or content provided is a decision for which you are solely responsible.

a. "AS IS" and "AS AVAILABLE" Basis: The Service is provided on an "as is" and "as available" basis, with all its faults. As an evolving platform, it may contain errors, bugs, security vulnerabilities, or inaccuracies. We expressly disclaim all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

b. No Warranty of Service: We make no warranty that the Service will be uninterrupted, timely, secure, error-free, or that it will meet your specific requirements.

c. No Responsibility for Client Software or Third-Party Tools: We disclaim all responsibility and liability for the functionality, performance, security, or any issues arising from your client software, Integrated Development Environment (IDE), operating system, network connection, or any other third-party tools you use to interact with our Service. Any failures or errors originating from these components are your sole responsibility.

d. Generated Content Disclaimer: We do not warrant that the Generated Content will be accurate, complete, reliable, or suitable for any purpose. You are solely responsible for reviewing, testing, and validating all Generated Content before implementation. You agree that you bear all responsibility for the use of any content, including any reliance on its accuracy or usefulness.

e. Limitation of Liability: To the fullest extent permitted by law, you expressly understand and agree that Context Engineering shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if we have been advised of the possibility of such damages), resulting from the use or the inability to use the Service.

7. Termination

a. Termination by You: You may terminate these Terms at any time by cancelling your subscription and ceasing to use the Service.

b. Termination by Us: We reserve the right to suspend or terminate your access to the Service at any time, with or without cause or notice, for any reason, including if you violate these Terms. Upon termination, your right to use the Service will immediately cease.

8. Modification and Discontinuation of the Service

We are constantly changing and improving the Service. We reserve the right at any time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that we shall not be liable to you or to any third party for any modification, suspension, or discontinuation of the Service.

9. Changes to Terms

We may modify these Terms from time to time. If we make material changes, we will provide notice through the Service or by other means. Your continued use of the Service after the changes become effective constitutes your acceptance of the revised Terms.

10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Italy, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Rome, Italy to resolve any legal matter arising from these Terms.
